This Agreement sets forth the terms and conditions under which [Partner Name] ("Partner") joins the Care Access PBC ecosystem operated by Care Access PBC, a Delaware Public Benefit Corporation headquartered at 1215 19th Street NW, Washington, D.C. 20036.
The purpose of this Agreement is to formalize a collaborative relationship in which the Partner will contribute to, promote, and/or integrate with the Care Access PBC platform to advance the mission of making care accessible to all, everywhere.
Partner agrees to participate in one or more of the following capacities:
Specific responsibilities and scopes may be defined in Exhibit A.
This Agreement does not create an exclusive relationship. Both parties may collaborate with other individuals or entities unless explicitly agreed otherwise in writing.
Unless a separate commercial agreement is signed, this partnership is non-monetary and based on mutual benefit, visibility, and shared goals.
Care Access PBC may offer paid referrals, technology credits, visibility benefits, or access to premium partner tools, subject to performance or agreed milestones.
Each party agrees to protect confidential information exchanged during the course of this partnership and shall not disclose it to any third party without written consent.
Each party retains all rights to their own trademarks, tools, or content. If any co-branded or jointly developed material is created, ownership and rights shall be defined in a separate written addendum.
This Agreement remains in effect for 12 months from the Effective Date and automatically renews unless either party gives written notice at least 30 days in advance.
Either party may terminate this Agreement at any time for any reason with written notice.
Partner agrees to uphold the values of accessibility, dignity, and non-discrimination, and to operate in compliance with local laws and industry standards.
Each party agrees to indemnify and hold the other harmless from any claims arising out of their own actions or negligence in connection with this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
This document represents the entire agreement between the parties and supersedes all prior agreements, communications, or understandings.
